Welcome to ClauseWize (“we,” “us,” or “our”). By accessing or using clausewize.com (the “Service”), you agree to these Terms of Service. If you do not agree, do not use the Service.

1. Service Description

ClauseWize is an AI-powered contract analysis tool that provides informational reports about uploaded PDF contracts. The Service uses artificial intelligence to identify potential risks, generate summaries, and suggest negotiation language.

2. Not Legal Advice

IMPORTANT: ClauseWize does NOT provide legal advice. No attorney-client relationship is created by using this Service. The analysis, reports, and suggestions generated by ClauseWize are for informational purposes only. You should always consult a qualified attorney before making legal decisions or signing contracts based on our analysis. We are not a law firm, and our employees and AI systems are not licensed attorneys.

3. Account Registration

To use certain features, you must create an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must provide accurate information and be at least 18 years old.

4. Pricing and Payment

We offer free and paid plans. Paid plans are billed through Stripe. Subscriptions auto-renew monthly unless cancelled. You may cancel at any time through your billing dashboard. Refunds are handled on a case-by-case basis. Single-scan purchases are non-refundable once the analysis has been delivered.

5. Acceptable Use

You agree not to: (a) upload malicious files or content; (b) attempt to reverse-engineer our AI systems; (c) use the Service for illegal purposes; (d) resell or redistribute our analysis without permission; (e) exceed reasonable usage limits or abuse the free tier.

6. Intellectual Property

You retain ownership of all contracts you upload. We retain ownership of our AI models, analysis framework, and Service design. Reports generated by our Service are licensed to you for personal or internal business use. You may share reports via our built-in sharing feature.

7. Data Handling

Uploaded contracts are processed by our AI for analysis purposes. We do not sell your data to third parties. Contract text may be sent to our AI provider (Anthropic) for processing under their data protection agreements. See our Privacy Policy for full details.

8. Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE ARE NOT LIABLE FOR ANY DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO: RELIANCE ON AI-GENERATED ANALYSIS, BUSINESS DECISIONS BASED ON OUR REPORTS, OR FAILURE TO IDENTIFY SPECIFIC CONTRACT RISKS. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PRECEDING 12 MONTHS.

9. Termination

We may suspend or terminate your account for violations of these Terms. You may delete your account at any time. Upon termination, your access to reports and analysis history will be removed.

10. Changes to Terms

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance. We will notify you of material changes via email or in-app notification.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
